Terms of Service
These terms are an agreement between you and Shiny Labs LLC (“Shiny Labs”, “we”, “us”) covering your use of our website, applications and subscription services (the “Services”). By using the Services you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
1. Your account
You need an account to use most of the Services. You must provide accurate information, keep your credentials secure, and be at least 13 years old (or the minimum age of digital consent where you live). You are responsible for activity that happens under your account.
2. Acceptable use
You agree not to:
- break the law or infringe anyone's rights when using the Services;
- upload malware, or probe, scan or attack our systems or other users;
- attempt to gain unauthorised access to the Services, or circumvent usage limits, rate limits or security controls;
- resell, sublicense or otherwise make the Services available to third parties except as expressly permitted; or
- use the Services to send unsolicited messages or to store content that is unlawful, abusive or harmful.
We may suspend or terminate accounts that violate these terms, normally after notice unless the violation causes immediate risk.
3. Your content
You keep all rights to the content you put into the Services. You grant us a limited licence to host, copy, transmit, display and back up that content solely to operate and support the Services for you. You are responsible for having the rights necessary to your content and for its legality.
4. Our intellectual property
The Services, including our software, design and brand, remain the property of Shiny Labs and its licensors. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services. You may not copy, modify, reverse engineer or create derivative works from the Services except as the law expressly permits.
5. Subscriptions, fees and refunds
Paid plans are billed in advance on the cycle shown at checkout and renew automatically until cancelled. You may cancel at any time; the cancellation takes effect at the end of the current billing period, and we do not prorate partial periods except where the law requires it. We may change prices with at least 30 days' notice before the change applies to your next renewal.
If you subscribed through the Apple App Store or another third-party store, that store handles your billing, cancellation and refunds under its own terms, and you should manage the subscription there.
6. Third-party services
The Services may integrate with third-party products. We are not responsible for those products, and your use of them is governed by their own terms and privacy policies.
7. Availability and changes
We work to keep the Services available and reliable, but we may modify, suspend or discontinue features. If we discontinue a Service you pay for, we will give reasonable notice and refund any prepaid fees covering the period after it ends.
8. Disclaimer of warranties
Except where prohibited by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error free.
9. Limitation of liability
To the fullest extent permitted by law, Shiny Labs will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our total liability arising out of or relating to these terms is limited to the amounts you paid us for the Services in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.
10. Indemnity
You agree to indemnify and hold Shiny Labs harmless from claims, damages and reasonable expenses arising from your content or your breach of these terms, except to the extent caused by us.
11. Termination
You may stop using the Services and close your account at any time. We may terminate or suspend your access if you materially breach these terms, if required by law, or if we discontinue the Services. On termination, your right to use the Services ends; you may export your content for 30 days, after which we may delete it.
12. Governing law
These terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of law rules. The courts located there have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court, and nothing here removes consumer protections that apply to you where you live.
13. Changes to these terms
We may update these terms. We will change the “last updated” date above and, for material changes, give notice by email or in the product at least 30 days before they take effect. Continuing to use the Services after that means you accept the updated terms.
